Cardio, and yes it will keep weight off just like any other form of exercise, provided you follow a consistent routine. As for what it works, I'm not sure what you're asking. Do you want to know if it will build muscle? It won't add a noticeable amount of muscle mass to your frame unless you're made of nothing right now. If you really just want to know what hitting the bag will work, you should be feeling it in your entire body, not just your arms, back, and shoulders.
Also, make sure you have proper bag gloves or you're going to fuck your hands up. Everlast Bag Gloves (http://store.everlastboxing.com/everlast-bag-gloves.html)

It works out all of your upper body. The whole body if you move around, more cardio than anything for the lower. If you are new to the heavy bag, don't just throw mad punches for however long. Work on combos, then build a routine off of it. Jab, jab, straight; etc, etc. Doing it as reps work pretty well, then move on to another set of combinations. I would also recommend getting a jump rope and work with that also along with the heavy bag.
If you stay consistent with it, you can tone very well and lose weight (if that's also what you are after).

if anything i wanna gain weight, but nothing seems to work for me , so i figured a punching bag might help tone me and get alittle more mass. Ya i got thos gloves the UFC fighters use , alot smaller then the link you gave me.....
when i first started working out with the bag , it fucked my knuckles up pretty good , so i couldnt use it for like a week , now my nuckles seem to be able to take more....wrists get pretty fucked up too , getting stronger though.... wish me luck...i hit the bag for about 30-40 mins a day ...then hit the bench for the same....jumprope sounds good.

You have to make sure to have your hands wrapped with something. Either tape or bag gloves. You can easily damage or break your wrist if you hit the bag wrong if you don't wear gloves/tape.
Also, make sure you have distance between yourself and the bag. When you fully extend your arm for a punch, it should kind of tap the bag. Unless for your routine, you are trying to stay close. Remember, you aren't really suppose to be punching as hard as you can every punch. If anything, that will damage your joints a lot more if you don't have the right technique.

Like I said, you really aren't going to see much of a noticeable gain in mass doing this. It should tone your muscles nicely, however.
Fivestar is dead on with the tip about distance and technique. When I first started using a heavy bag I got too close and split all the knuckles on my right fist because I misjudged the distance and my wrist hurt for a week.

Don't use the 4 oz MMA gloves, they don't protect your hands near enough for a heavy bag. Get a set of wraps and bag mits.
Punching on a heavy bag won't make you stronger by very much at all, however it will tone you. You should puch properly with your tricep and shoulder muscles, so expect the biggest gains to be in those areas. To get a good workout you should stay nimble on your feet and keep practicing different combinations. I love Bas Rutten's heavy bag routine, where he records himself calling out numbers (1 through 3 I believe), and each number is a different combination. In between numbers he gives himself a moment or two rest, and calls out individual punches as well. He keeps all this on a tape and plays it when he's on the bag, giving himself motivation to keep going and a balanced set of combinations to work all his punches equally. If you stay on your toes between punches and plant your feet as you land, you'll get a pretty good cardio work out and tone your upper body pretty well. Get yourself a good jump rope and a decline bench for doing situps with weights and you'll be fit in no time. Toss in some body weight exercises (pushups, pull ups, etc), and you can get in great shape with next to no equipment.
